OVERVIEW & ACCEPTANCE OF TERMS

These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” “your”) and Social Capital Academy LLC, a North Carolina limited liability company (“Social Capital Academy,” “Company,” “we,” “us,” “our”).

By registering for any event, purchasing any product or service, submitting payment, accessing materials, attending any engagement, or selecting “I Agree” to these Terms, you acknowledge that you have read, understood, and agreed to be bound by them.

If you do not agree to these Terms, you may not engage with Social Capital Academy or access the Services.

1. MASTER AGREEMENT & CONTINUING APPLICABILITY

These Terms constitute a master agreement governing all current and future engagements between you and Social Capital Academy.

This agreement applies to, without limitation:

  • Brand Authority™

  • Studio Day

  • Batch Day

  • Proximity™

  • Private or group sessions

  • Live or virtual events

  • Special engagements

  • In-studio or on-location work

  • Any services, programs, or experiences offered now or in the future

This applies regardless of whether a separate invoice is issued, payment is made privately, or the engagement occurs at a later date.

No additional agreement, waiver, or consent is required unless expressly stated in writing by Social Capital Academy.

These Terms survive the completion, cancellation, or termination of any individual service.

2. PAYMENT TERMS & FINANCIAL OBLIGATIONS

All prices are listed in U.S. Dollars unless otherwise stated.

You agree to pay the full amount specified at checkout, invoice, or agreement. Payment plans, if offered, are a courtesy and do not alter your obligation to pay the full purchase price.

Failure to make timely payment constitutes a material breach of this agreement.

3. LATE PAYMENTS, DEFAULT & SUSPENSION

If any payment is more than five (5) days past due, Social Capital Academy may, at its sole discretion:

  • Suspend or terminate Services

  • Withhold deliverables

  • Revoke access to programs, platforms, or materials

  • Revoke or deny usage rights

A $35 failed payment recovery fee may be assessed per occurrence, in addition to any processing or bank fees.

Chargebacks or payment disputes constitute a material breach of this agreement.

4. CONDITIONED DELIVERY & TRANSFER OF INTELLECTUAL PROPERTY

All intellectual property, digital assets, recordings, images, videos, written materials, and creative works remain the sole property of Social Capital Academy until full payment has been received and cleared.

No ownership rights, license, or usage rights—express or implied—are granted prior to full payment.

Upon receipt of full payment, Client is granted a non-exclusive, non-transferable license to use delivered assets for Client’s own business and marketing purposes only, unless otherwise agreed in writing.

5. NO REPRODUCTION OR UNAUTHORIZED USE

You may not reproduce, distribute, modify, create derivative works of, republish, transmit, sell, resell, sublicense, or exploit any material displayed or provided in connection with the Services without express written permission from Social Capital Academy.

Unauthorized use constitutes intellectual property infringement and will be pursued to the fullest extent permitted by law.

6. INTELLECTUAL PROPERTY OWNERSHIP

All frameworks, methodologies, templates, language, systems, recordings, content, branding assets, and materials created by Social Capital Academy are protected by copyright and trademark law and remain the exclusive property of the Company.

Nothing in these Terms shall be construed as transferring ownership of intellectual property.

7. PERPETUAL MEDIA RELEASE, STUDIO & BEHIND-THE-SCENES CONSENT

By participating in any Social Capital Academy engagement, you irrevocably grant Social Capital Academy the perpetual, worldwide, royalty-free right to capture, use, reproduce, modify, publish, distribute, and create derivative works from:

  • Behind-the-scenes footage

  • B-roll footage

  • Studio photography and videography

  • Social content

  • Posed or directed images

  • Candid images or recordings

  • Audio recordings

  • Any visual or audiovisual materials captured

These materials may be used at the sole discretion of Social Capital Academy for marketing, promotion, advertising, education, and showcasing its programs, services, and signature work across all current and future media platforms, without time limitation.

No additional permission, approval, notification, or compensation is required.

This section constitutes full and final consent.

8. RIGHT TO MODIFY, EDIT & COMPOSITE

Social Capital Academy may edit, crop, subtitle, composite, adapt, translate, or otherwise modify materials in whole or in part, without restriction.

9. WAIVER OF MORAL RIGHTS

To the fullest extent permitted by law, you irrevocably waive any and all moral rights, rights of attribution, or rights of integrity related to the materials, including any right to object to context, portrayal, or modification.

10. EXTENSION TO ACCOMPANYING PARTIES

These Terms and media consent automatically extend to any individual accompanying you, including but not limited to team members, assistants, contractors, partners, or guests.

You represent that you have authority to bind such individuals and agree to indemnify Social Capital Academy against any claims arising from their participation.

11. AGE & AUTHORITY REPRESENTATIONS

You represent and warrant that:

  • You are at least eighteen (18) years of age

  • All individuals appearing in materials are at least eighteen (18), or you are their legal guardian authorized to consent

  • You are free to enter into this agreement and doing so does not violate any other agreement

12. GENERAL DISCLAIMER

To the fullest extent permitted by law, Social Capital Academy expressly disclaims any liability for any direct, indirect, incidental, consequential, or special loss or damage incurred by you or others in connection with the Services, including but not limited to:

  • Loss of revenue or profits

  • Loss of business or opportunity

  • Loss of goodwill or reputation

  • Loss or corruption of data

  • Any indirect or consequential damages

Services are provided for informational and educational purposes only.

We do not provide medical, legal, financial, or professional advice, and nothing in the Services should be construed as such.

Any reliance on information provided is strictly at your own risk.

13. WARRANTIES DISCLAIMER

The Services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, or non-infringement.

14. EARNINGS & RESULTS DISCLAIMER

Any results, outcomes, or examples referenced are not guaranteed or typical. Individual results vary, and we make no guarantee of success as a result of participation in the Services.

15. TECHNOLOGY DISCLAIMER

While reasonable efforts are made to provide reliable technology, Social Capital Academy is not responsible for technological failures, interruptions, errors, or omissions.

16. ASSUMPTION OF RISK

By accessing or participating in the Services, you voluntarily assume all risks associated with your use of the information and materials provided.

17. INDEMNITY & RELEASE

You agree to indemnify, defend, and hold harmless Social Capital Academy, its affiliates, employees, contractors, agents, licensors, and service providers from any claims, damages, liabilities, losses, or expenses, including attorneys’ fees, arising from your participation in or use of the Services.

18. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Social Capital Academy shall not be liable for any direct, indirect, incidental, or consequential damages arising out of or related to the Services.

19. WAIVER

Failure by Social Capital Academy to enforce any provision of these Terms does not constitute a waiver of that provision.

20. LIMITATION ON TIME TO FILE CLAIMS

Any claim arising out of or relating to these Terms or the Services must be filed within one (1) year of accrual or be permanently barred.

21. GOVERNING LAW & VENUE

These Terms are governed by the laws of the State of North Carolina.

All disputes shall be resolved exclusively in Wake County, North Carolina.

22. SEVERABILITY

If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

23. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and Social Capital Academy and supersede all prior agreements or communications.
